Product Specific Terms
These Product Specific Terms, along with our Terms of Service and any policies or other legal terms referenced herein or therein, apply to your access to and use of certain specific products or services made available by Journee GmbH. These Product Specific Terms are incorporated by reference into our Terms of Service. Any terminology not defined in these Product Specific Terms have the meanings set forth in our Terms of Service. In the event of a conflict or inconsistency, except as otherwise expressly set forth in these Product Specific Terms, our Terms of Service shall govern, followed by these Product Specific Terms. In these Terms, an individual who requests an offer from Journee and / or who buys or books a product or service available on our Website, is referred to as ‘You’, you’ or ‘Client’.

Section 1 - General
The terms and conditions included in this section apply to all our Products, Services and Programs listed here above (collectively referred to as “Products”).
1.1 Payment Options
Services can be booked and purchased also via the following flow: we prepare an offer, you receive and accept the offer and its fees and we consequently issue an invoice. Some Products or Services may also be available for online purchase and this is enabled on our Website via Squarespace Commerce modules. When purchasing our Products online you will receive upon successful payment an order confirmation.
1.2 Fees
Journee GmbH prepares a written offer for extensive or custom projects. The fee depends on the time required and the individual hourly rate. Necessary additional work due to changed specifications by the Client will be announced in a reasonable time frame and must be shown separately in the statement as it will imply additional fees to cover.
1.3 Reduction or cancellation of the order
Products bought online via the Website are not refundable nor can they be cancelled. When agreed custom projects are reduced or cancelled, Journee GmbH is entitled to (1) account for the work done up until that point and (2) offset the expenses and advance payments of third parties. Additionally Journee has the right to use the work it has already done for other purposes if the Product / Service is cancelled. The rights of use remain fully with Journee GmbH.
1.4 Billing & Invoicing
Journee carries out the billing on the basis of the details in the accepted offer. If such details have not been set forth in the offer, the client will receive a detailed invoice. Invoicing is done electronically. Clients will only receive digital invoices.
1.5 Terms of Payment
For payments via invoice - invoices are issued as soon as the projects or Product has been delivered and it is to be paid as a rule of thumb within 15 days without deduction. In the case of a large project, an appropriate partial payment may be charged. Journee GmbH reserves the right to shorten the payment period for first-time clients or on a case-by-case basis.
1.6 Penalties for late payment
If an invoice from Journee GmbH is not paid within the payment period stated on the invoice, the Client is in default without any further reminder. In the event of delay, Journee is entitled to invoice the Client the resulting additional expenses in the following amount:
1st payment reminder: No additional costs
2nd reminder: Flat rate of CHF 30
3rd reminder: Flat rate of CHF 50
Journee reserves the right to offset additional default costs. If the Client does not pay the outstanding invoice in full after the 3rd reminder, Journee GmbH is entitled to withdraw from the contract without notice, to report the work performed immediately and to hand over the claims against the Client to a debt collection agency. The costs of the debt collection agency are borne by the Client and are recognized by him.
1.7 Liability
Journee is by no means liable for the Client's loss of data or for unauthorized third parties gaining knowledge of personal data of users of the services provided by Journee as part of the Service. Journee is also not liable for: (1) data and information that the Client has made accessible and available to third parties being misused by them, (2) for any content and activities of the client, (3) loss of sales or other damage resulting from a malfunction or unavailability of a website.
1.8 Confidentiality
Journee GmbH and the Client acknowledge that during the course of the performance of a Project/Product /Service, information of a confidential nature may be disclosed between the parties. Such information, excluding the Deliverables and any other information incident to the Deliverables that a party could reasonably be expected to be provided to the other party as contemplated hereunder, shall be considered confidential information (“Confidential Information”). Neither party has the right to disclose the Confidential Information of the other, in whole or in part, to any third party, and neither party will make use of the Confidential Information of the other for its own or a third party’s benefit or in any way use such Confidential Information other than for the purposes of performance of the Product / Service /Project without the prior written consent of the disclosing party.
1.9 Publicity
Journee GmbH may use Client’s business name, logo and/or the personal name to identify the Client as a customer of Journee GmbH on Journee’s Website, in its social media accounts and/or in other marketing materials, digital or printed. Journee GmbH may issue a press release containing the Client’s name, related to any Product agreed and delivered to the Client. Neither party will use the other party’s name or marks, refer to or identify the other party for any other reason, except as established in this section, without such other party’s written approval. Any approval required under this Section shall not be unreasonably withheld or delayed by either party.
The following Sections apply selectively to the Client based on the Products/Services purchased from, or agreed via a contract with Journee GmbH.
Section 2 - Fractional CMO
Such Products will be agreed, defined and detailed via a separate signed agreement (signature collected via DocuSign technology), in addition to accepting all terms and conditions set forth included in the Terms of Service, Privacy Policy and into the Product Specific terms documents.
Section 3 - Custom Projects
Such Products will be agreed, defined and detailed via a separate signed agreement (signature collected via DocuSign technology), in addition to accepting all terms and conditions set forth included in the Terms of Service, Privacy Policy and into the Product Specific terms documents.
